MEMORANDUM OF UNDERSTANDING

KidLead Academy Affiliate Program

This Memorandum of Understanding (MOU) is entered into by and between KidLead Academy* (KLA) and the undersigned Affiliate, collectively referred to as "Parties." This MOU outlines the mutual understanding and expectations between the Parties regarding participation in the KLA Affiliate Program. This is primarily a communication tool, to help both parties understand the extent and limitations of this agreement. We’re only interested in a win-win relationship, so here goes.

1. Purpose

The purpose of this MOU is to establish the terms and conditions for the Affiliate’s participation in the KLA Affiliate Program, including commission structure, access to course materials, marketing guidelines, and dispute resolution procedures.

2. Affiliate Agreement

A. All materials, including course content, graphics, and marketing assets provided to the Affiliate, remain the sole property of KidLead Academy. The Affiliate agrees not to reproduce, alter, or distribute these materials beyond their intended purpose within the affiliate agreement.

B. The Affiliate agrees to promote KidLead Academy’s online course using ethical marketing practices and to uphold the integrity and reputation of the KidLead brand. It’s your network, so we respect your right to promote it as much or as little as you like.

C. In the event of an impasse or disagreement, both Parties agree to submit to arbitration as a means of resolution rather than pursuing legal action. The arbitrator shall be mutually selected by both Parties, and the decision shall be binding.

D. The Affiliate understands that course access is provided exclusively for their personal review and is not to be shared, resold, or distributed to others.

E. The Affiliate will receive credit for a commission based on the agreed-upon structure outlined in their onboarding materials, following the 7-day money-back guarantee period offered to clients.

F. Customers must use the link or code assigned to the Affiliate for the credit to go to the Affiliate. Therefore, you’ll want to remind your network to use your link or code.

G. Monthly commission payments will be electronically processed by KidLead (not Kajabi) based on completed sales where the Affiliate’s unique code is used. These will be based on the Affiliate’s account on Kajabi.

H. The Affiliate agrees to comply with all applicable laws and ethical advertising standards, including but not limited to, anti-spam regulations and truth-in-advertising policies. We’re confident you don’t spam, but we have to say it anyway.

3. Confidentiality, Intellectual Property, & Data Protection

KidLead Academy and the Affiliate agree to protect any customer data obtained through the affiliate process and comply with applicable data privacy laws, including GDPR and CCPA, where relevant. Both are prohibited from selling or misusing any customer information.

4. Dispute Resolution & Liability

The Affiliate agrees to indemnify and hold harmless KidLead Academy from any claims, damages, or legal liabilities resulting from the Affiliate’s promotional efforts or misrepresentation of the course.

5. Agreement Duration & Termination Clause

A. Either Party may terminate this agreement with 30 days’ written notice if they find the arrangement unsatisfactory. If this happens, the affiliate would continue to receive commissions from their link or code for 60 days following the end of the agreement.

B. If the Affiliate does not generate a minimum of five (5) sales within a twelve (12) month period, this agreement will be considered void, and the affiliate relationship will automatically terminate. That’s because we assume you’ve tapped your network or lost interest. We simply want to avoid having numerous inactive accounts. You can restart the process whenever you like.
